Michael F. Rozmajzl, Esq. CPA

Biography

Michael is a corporate and securities lawyer with C-level experience and proven track record of successful negotiation with large firm and public company counterparts. Michael has structured recapitalizations, business acquisitions, and securities offerings with an aggregate transaction value in excess of $1 billion. Michael’s legal career is marked with a consistent flow of sophisticated transactions, including contract design and negotiation for mergers, business acquisitions, technology and intellectual property licensing and procurement, antitrust, corporate finance, and commercial matters for manufacturing, distribution and development activities.

Having structured numerous business start-ups, Michael actively advises on corporate governance matters including entity election, tax election, shareholder agreements, buy-sell agreements, and shareholder voting/proxy/resolutions. Michael also structures debt instruments and private equity offerings including private placement memorandums, subscription agreements, and state/federal securities compliance programs. Michael practiced in-house as general counsel for an international biotechnology company and as outside counsel in a reputable business law firm serving public and privately held companies. Michael’s legal and business career has also involved active consultation to health care and biotechnology companies on matters such as technology development and protection, FDA and clinical trial matters, and Stark and Anti-kickback compliance programs.

In addition to practicing business law, Michael practices as a CPA with experience in deal structuring including preliminary due diligence, market analysis, financial statement compilation and analysis, comp company review, valuation, business plans and projection compilation. Prior to his business law career, Michael was a blue suit at PricewaterhouseCoopers specializing in international finance, real estate, and bank audit. Michael is licensed to practice law in Georgia and Ohio.
